LinkaRooms™ Supplier/Partner Agreement

  1. Introduction
This Supplier/Partner Agreement ("Agreement") is entered into by and between LinkaRooms™ ("LinkaRooms," "we," "us," "our") and the supplier or partner ("Supplier," "you," "your") who lists services on the LinkaRooms platform. This Agreement outlines the responsibilities, obligations, and terms that govern the relationship between LinkaRooms and the Supplier. By listing your services on our platform, you agree to comply with the terms and conditions set forth in this Agreement.
  1. Supplier Obligations
2.1. Service ListingsAs a Supplier, you are responsible for providing accurate and up-to-date information about the services you offer, including descriptions, pricing, availability, images, and any other relevant details. You agree to:
  • Ensure that all information provided is truthful, complete, and not misleading.
  • Regularly update your service listings to reflect current availability, pricing, and service conditions.
  • Promptly notify LinkaRooms of any changes to your services that may affect bookings or customer expectations.
2.2. Service ProvisionYou agree to provide the services listed on the LinkaRooms platform in a professional, timely, and reliable manner. This includes:
  • Delivering the services as described in your listing without significant deviation or substitution.
  • Ensuring that the services are provided at the agreed-upon time and location.
  • Responding promptly to customer inquiries and resolving any issues or complaints in a satisfactory manner.
2.3. Customer CommunicationYou are responsible for maintaining clear and professional communication with customers who book your services through the LinkaRooms platform. This includes:
  • Confirming bookings and providing customers with all necessary information prior to their arrival or service date.
  • Addressing any customer concerns or questions in a timely and courteous manner.
  • Informing customers of any changes or disruptions to their booking as soon as possible.
  1. Quality and Safety Standards
3.1. Service QualityYou agree to uphold high standards of quality in the services you provide. This includes:
  • Delivering services that meet or exceed customer expectations.
  • Ensuring that your services are consistent with the descriptions provided on the LinkaRooms platform.
  • Regularly reviewing and improving your services based on customer feedback and industry best practices.
3.2. Safety StandardsYou are responsible for ensuring that all services provided through the LinkaRooms platform comply with applicable safety regulations and standards. This includes:
  • Implementing appropriate safety measures to protect customers, employees, and any other parties involved in the provision of services.
  • Providing clear safety instructions and guidelines to customers where applicable.
  • Regularly inspecting and maintaining equipment, facilities, and vehicles used in the provision of services to ensure they are safe and operational.
3.3. Health and HygieneIf your services involve accommodations, food, transportation, or activities that may impact customer health, you agree to maintain high standards of hygiene and sanitation. This includes:
  • Complying with all relevant health and safety regulations, including those related to COVID-19 and other infectious diseases.
  • Ensuring that all facilities and equipment are cleaned and sanitized regularly.
  • Providing customers with access to health and safety information, including any required vaccinations, travel advisories, or health risks associated with the services.
  1. Compliance with Local Laws
4.1. Legal ComplianceYou agree to comply with all applicable local, regional, and national laws, regulations, and ordinances in the provision of your services. This includes, but is not limited to:
  • Obtaining and maintaining all necessary licenses, permits, and certifications required to operate your business and provide the listed services.
  • Complying with tax obligations, including the collection and remittance of any applicable taxes related to the services provided.
  • Adhering to labor laws, including those related to employee wages, working conditions, and rights.
4.2. Anti-Discrimination and Ethical PracticesYou agree to operate your business in an ethical manner and to provide services without discrimination based on race, gender, religion, nationality, sexual orientation, disability, or any other characteristic protected by law. This includes:
  • Treating all customers, employees, and third parties with dignity and respect.
  • Ensuring that your services are accessible to all customers, including those with disabilities, where applicable.
  • Avoiding any practices that could be considered exploitative, unethical, or in violation of human rights.
  1. Liability for Service Failures
5.1. Supplier LiabilityAs a Supplier, you are solely responsible for the quality, safety, and legality of the services you provide. You agree to indemnify, defend, and hold harmless LinkaRooms from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
  • Any failure to provide the services as described or agreed upon.
  • Any injury, loss, or damage suffered by a customer as a result of your services.
  • Any breach of this Agreement or applicable laws by you or your employees.
5.2. Customer Complaints and DisputesIn the event of a customer complaint or dispute related to your services, you agree to cooperate fully with LinkaRooms to resolve the issue in a timely and satisfactory manner. This includes:
  • Investigating the complaint and providing LinkaRooms with relevant information and documentation.
  • Offering appropriate compensation or remedies to the customer, where applicable.
  • Complying with any decisions or recommendations made by LinkaRooms regarding the resolution of the complaint.
  1. Payment Terms and Conditions
6.1. Commission and FeesYou agree to pay LinkaRooms a commission or fee for each booking made through our platform, as specified in your Supplier agreement. This commission or fee is calculated based on the total amount paid by the customer for the services booked.6.2. Payment ProcessingLinkaRooms will collect payments from customers on your behalf and remit the funds to you after deducting the agreed-upon commission or fees. Payments will be processed and payed out immediately after completion of stay or activity. All payments will be made via bank or mobile transfer.6.3. Refunds and ChargebacksIn the event that a customer is entitled to a refund or initiates a chargeback, the amount of the refund or chargeback will be deducted from your next payment. If the refund or chargeback amount exceeds the balance of your next payment, you will be required to reimburse LinkaRooms for the difference within [14 days] of receiving notice.6.4. Tax ObligationsYou are responsible for complying with all tax obligations related to the services you provide through the LinkaRooms platform. This includes, but is not limited to, collecting and remitting any applicable sales taxes, value-added taxes (VAT), or other taxes. LinkaRooms is not responsible for any tax liabilities incurred by you.
  1. Termination
7.1. Termination by LinkaRoomsLinkaRooms reserves the right to terminate this Agreement and remove your listings from our platform at any time, with or without cause, and without prior notice. Grounds for termination may include, but are not limited to:
  • Violation of this Agreement or any applicable laws.
  • Failure to provide services that meet our quality and safety standards.
  • Repeated customer complaints or disputes that are not resolved satisfactorily.
7.2. Termination by SupplierYou may terminate this Agreement at any time by providing written notice to LinkaRooms. Upon termination, you must fulfill all outstanding bookings and comply with any pending obligations under this Agreement.
  1. Confidentiality
You agree to maintain the confidentiality of all proprietary information and trade secrets of LinkaRooms, including customer data, business processes, and any other information that is not publicly available. This obligation remains in effect even after the termination of this Agreement.
  1. Governing Law and Dispute Resolution
9.1. Governing LawThis Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction, e.g., Tanzania], without regard to its conflict of laws principles.9.2. Dispute ResolutionIn the event of any dispute arising out of or related to this Agreement, the parties agree to first attempt to resolve the dispute through good-faith negotiations. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the [Arbitration Institution]. The arbitration shall take place in [Location, e.g., Dar es Salaam, Tanzania], and the arbitrator's decision shall be final and binding on both parties.
  1. Amendments
LinkaRooms reserves the right to amend this Agreement at any time. Any amendments will be effective upon posting on the LinkaRooms platform or upon notice to you. Your continued use of the LinkaRooms platform after the effective date of any amendments constitutes your acceptance of the revised Agreement.
  1. Entire Agreement
This Agreement constitutes the entire understanding between LinkaRooms and the Supplier regarding the subject matter herein and supersedes all prior agreements, discussions, or understandings, whether written or oral.Effective Date: 01 / 01 / 2024
